History of the joint-stock capital

Date of OJSC «MOESK» shares placement is the date of state registration of OJSC «MOESK» - 1 April, 2005.

The procedure of shares placement was established by the decision of the Annual General Meeting of Shareholders of Mosenergo, JSC concerning the restructuring of Mosenergo, JSC in the form of spinning-off (minutes No.1 as of 29.06.2004).

OJSC «MOESK» shares were distributed among the shareholders of Mosenergo, JSC (including the shareholders who voted against the restructuring or did not take part in the voting on Mosenergo, JSC restructuring) proportionally to the number of Mosenergo, JSC shares owned by them.

The shareholders received 1 (one) ordinary share of OJSC «MOESK» with a par value of 0.5 roubles for each ordinary share of Mosenergo, JSC owned by them.

The total number of OJSC «MOESK» shares subject to distribution equalled the total number of Mosenergo, JSC shares (except for the shares owned by Mosenergo, JSC ) ) that were left after the shares repurchase that was made under the request of the shareholders who voted against the restructuring or did not take part in the voting on the given issue. The number of OJSC «MOESK» ordinary shares that each OJSC «MOESK» shareholder received equalled the number of Mosenergo, JSC ordinary shares belonging to him/her on the date of placement on the basis of the data of Mosenergo, JSC shareholders' register.

On 18 April, 2008 the Extraordinary General Meeting of Shareholders of OJSC «MOESK» made the decision on restructuring of OJSC «MOESK» in the form of merger with OJSC «MGESK».

The shareholders of OJSC «MOESK» made the decision on placement of OJSC «MOESK» additionally issued shares (in the number of 20,461,450,000 pieces) for conversion in them of OJSC «MGESK» shares in the process of restructuring.

On 30 June, 2008 the restructuring of OJSC «MOESK» in the form of merger with OJSC «MGESK» was completed.

  • Amount of the authorised capital - 24,353,545,787 roubles;
  • Total number of the issued shares - 48,707,091,574 pieces;
  • Total number of the shareholders - over 20 000.

Changes in the structure of the joint-stock from the moment of OJSC «MOESK» establishment
  • In July, 2006 the Gazprom Group purchased an additional share holding of OJSC «MOESK», having increased its share in the authorised capital of OJSC «MOESK» from 25 % (as of 31 December, 2005) to 28 %.
  • The 2008 restructuring did not affect the distribution of shares in the joint-stock of our company, because from the moment of spinning-of from Mosenergo «MOESK» and «MGESK» had a mirror structure of the joint-stock capital. The changes are connected with the liquidation of RAO UES of Russia, JSC and with reduction of Gazprom Group participatory share in the authorised capital of OJSC «MOESK».
  • In 2008 Gazprom Company Group increased its MOESK share holding from 28% to 31%, Moscow Goverment Company Group - from 7,5% to 8%.
