History of the joint-stock capital
Date of JSC «MOESK» shares placement is the date of state registration of JSC «MOESK» - 1 April, 2005.
The procedure of shares placement was established by the decision of the Annual General Meeting of Shareholders of Mosenergo, JSC concerning the restructuring of Mosenergo, JSC in the form of spinning-off (minutes No.1 as of 29.06.2004).
JSC «MOESK» shares were distributed among the shareholders of Mosenergo, JSC (including the shareholders who voted against the restructuring or did not take part in the voting on Mosenergo, JSC restructuring) proportionally to the number of Mosenergo, JSC shares owned by them.
The shareholders received 1 (one) ordinary share of JSC «MOESK» with a par value of 0.5 roubles for each ordinary share of Mosenergo, JSC owned by them.
The total number of JSC «MOESK» shares subject to distribution equalled the total number of Mosenergo, JSC shares (except for the shares owned by Mosenergo, JSC ) ) that were left after the shares repurchase that was made under the request of the shareholders who voted against the restructuring or did not take part in the voting on the given issue. The number of JSC «MOESK» ordinary shares that each JSC «MOESK» shareholder received equalled the number of Mosenergo, JSC ordinary shares belonging to him/her on the date of placement on the basis of the data of Mosenergo, JSC shareholders' register.
On 18 April, 2008 the Extraordinary General Meeting of Shareholders of JSC «MOESK» made the decision on restructuring of JSC «MOESK» in the form of merger with JSC «MGESK».
The shareholders of JSC «MOESK» made the decision on placement of JSC «MOESK» additionally issued shares (in the number of 20,461,450,000 pieces) for conversion in them of JSC «MGESK» shares in the process of restructuring.
On 30 June, 2008 the restructuring of JSC «MOESK» in the form of merger with JSC «MGESK» was completed.
Structure of the joint-stock capital
- Amount of the authorised capital - 24,353,545,787 roubles;
- Total number of the issued shares - 48,707,091,574 pieces;
- Total number of the shareholders - over 20 000.
Change in the structure of share capital since foundation of JSC “MOESK”
The date of placement of JSC “MOESK” shares is the date of the state registration of JSC “MOESK”, i. e. April, the 1st of 2005.The order of placement of shares was set by the decision of the annual General Shareholders’ Meeting of JSC "Mosenergo" on the reorganization of JSC"Mosenergo" in form of spinning off (Minutes # 1 as of June, 29th of 2004. )
Shares of JSC “MOESK” were placed through the distribution to shareholders of JSC "Mosenergo", including shareholders, voted against or did not participate in voting on the reorganization of JSC "Mosenergo", in proportion to the number of their existing shares of JSC "Mosenergo".
Per each ordinary share of JSC "Mosenergo" one (1) ordinary share of JSC "MOESK" was subject to distribution with nominal value of RUR 0. 5.
Total number of JSC “MOESK” shares subject to distribution was equal to the total number of JSC "Mosenergo" shares (with the deduction of shares owned or at the disposal of JSC "Mosenergo"), remaining after the purchase of shares at the request of shareholders who voted against the decision on reorganization or did not participate in voting on this issue.
Number of JSC “MOESK” ordinary shares that each shareholder received was equal to the number of owned by him or her ordinary shares of JSC "Mosenergo" as of the date of placement based on data from register of shareholders of JSC "Mosenergo".
On April, 18th of 2008 at extraordinary meetings of JSC “MOESK” shareholders decision on reorganization of JSC “MOESK” was made in the form of accession of JSC “MCEgC” to it.
Shareholders of JSC “MOESK” also made decision on placement of additional emission of JSC “MOESK” shares (in amounts of 20 461 450 000 units) for conversion of JSC “MCEgC” shares to them in case of reorganization.
On June, 30th of 2008 reorganization of JSC “MOESK” by acceding of JSC “MCEgC” was completed.
Reorganization in 2008 had no influence on the distribution of shares in share capital of JSC "MOESK" because from the date of separation of JSC "MOESK" and JSC “MCEgC” from JSC "Mosenergo" they had mirror structure of share capital.
