Following the voting results a positive resolution has been passed.

1. To approve the redrafted Regulation about the material incentive and social package of the Top managers of JSC "Moscow United Electric Grid Company" according to Appendix # 6 to the resolution.

2. Regulation about the material incentive and social package of the Top managers of JSC "Moscow United Electric Grid Company", approved by a resolution of the Company Board of Directors on 06.12.2012 (Minutes # 186) shall be considered to have lost the force.

Following the voting results a positive resolution has been passed.

1. To approve the "Regulation of JSC "Russian Grids" about the United Technical Policy in the electric grid complex" as an internal document of the Company according to Appendix # 8 to the resolution of the Board of Directors.

2. Regulation about the Technical Policy of JSC "Moscow United Electric Grid Company" approved by a resolution of the Board of Directors of JSC "Moscow United Electric Grid Company" on 05.03.2008 (Minutes # 57 dd. 07.03.2008) shall be considered to have lost the force.

Following the voting results a positive resolution has been passed.

1. To approve Appendix # 2 to the Regulation on the material incentive of the Company Director General, approved by a resolution of the Board of Directors of JSC "Moscow United Electric Grid Company" dd. 05.02.2013 (Minutes # 190 dd. 05.02.2013), redrafted, according to Appendix # 9 to the resolution of the Company Board of Directors.

2. To determine the clauses of a labor contract with the Director General of JSC "Moscow United Electric Grid Company" Sinyutin Pyotr Alexeevich as to Appendix # 2 to the Regulation on the material incentive of the Company Director General (Appendix # 1 to the labor contract dd. 05.02.2013) according to Appendix # 10 to the resolution of the Company Board of Directors.

Following the voting results a positive resolution has been passed.

1. To determine the contract price for fulfillment of a scientific and research work between JSC "Moscow United Electric Grid Company" and JSC "Research and Development Center FGC UES" in the amount of RUR 14,950,000 (fourteen million nine hundred fifty thousand) and 00 kopeks, including VAT (18%) – RUR 2,280,580 (two million two hundred eighty thousand five hundred eighty) and 47 kopeks.

2. To approve the contract for fulfillment of a scientific and research work between JSC "Moscow United Electric Grid Company" and JSC "Research and Development Center FGC UES" (hereinafter – Contract) as an interested party transaction, according to Appendix # 18 to the resolution of the Company Board of Directors, under the following essential terms:

Parties of Contract.

Customer: JSC "Moscow United Electric Grid Company".

Executor: JSC "Research and Development Center FGC UES".

Subject matter of Contract.

Under the Contract, according to the Technical design specification of the Customer, the Executor is obliged to perform the scientific and research works on theme: "Elaboration of the methodological instructive regulations and software of calculation of the installations of devices of the automatic voltage control of transformers (AVCT) in the electric grids of JSC "MOESK".

Contents and scope of the Works, technical and other requirements to the Works under the Contract are determined in the Technical design specification (Appendix # 1 to the Contract).

Contract price.

Contract price is determined by a Cost estimation for performance of the scientific and research work (Appendix # 3 to Contract), which amounts to RUR 12,669,491 (twelve million six hundred sixty nine thousand four hundred ninety one) and 53 kopeks, besides that VAT 18% – RUR 2,280,580 (two million two hundred eighty thousand five hundred eighty) and 47 kopeks.

Total cost of the works with VAT under this Contract amounts to RUR 14,950,000 (fourteen million nine hundred fifty thousand) and 00 kopeks.

Term of the works performance.

Works are performed according to a Calendar plan (Appendix # 2 to the Contract):

Beginning – is a date of the Contract signing

Completion – 31.05.2014.

Validity period of Contract.

Contract comes into force after its signing day and is effective till the complete fulfillment by the Parties of the assumed obligations (including guarantee ones).

Following the voting results a positive resolution has been passed.

To determine the price of the contractor's agreement for the repair works performance of cable lines between JSC "Moscow United Electric Grid Company" and JSC "MKER" in the amount of RUR 17,700,000 and 00 kopeks (seventeen million seven hundred thousand and 00 kop), including VAT (18%) – RUR 2,700,000 and 00 kop. (two million seven hundred thousand and 00 kop).

2. To approve the contractor's agreement for the repair works performance of cable lines between JSC "Moscow United Electric Grid Company" and JSC "MKER" (hereinafter – Contract) as an interested party transaction, according to Appendix # 19 to the resolution of the Company Board of Directors, under the following essential terms:

Subject matter of Contract:

According to the estimated and technical documentation elaborated and approved by the Customer, the Customer entrusts and the Contractor assumes the obligations to perform the works (order) for an urgent repair of the Customer's 0.4-10 kV cable lines, as may be necessary, with a subsequent land improvements after the CL repair (paving or planting of greenery of the places of digging up, restoration of kerb-stone, paving slab etc.).

Contract price:

Total cost of the works (ceiling, for the full scope of the works), entrusted to the Contractor under the Contract, according to the Cost estimation under the unit prices, made in order to open financing (Appendix # 3 to the Contract) under the Contract, amounts to RUR 15,000,000 and 00 kopeks (fifteen million and 00 kop.), besides that VAT 18% - RUR 2,700,000 and 00 kop. (two million seven hundred thousand and 00 kop). Total cost of the works amounts to RUR 17,700,000 and 00 kop. (seventeen million seven hundred thousand and 00 kop).

Term of the works performance under the Contract:

Beginning of the works: As from signing.

Completion of the works: 31.12.2013.

Validity period of the Contract:

1. Contract comes into force after its signing and is effective till 31.12.2013.

2. According to article 425 of the RF Civil Code the clauses of the Contract shall be applicable to the relations of the parties which started from 24.09.2013.

Term of the scholarship payment — is the autumn semester of 2013/2014 academic year (from September of 2013 to January of 2014)

Amount of the scholarship — is RUR 10,000 (ten thousand) per month for one person.

Sum of the donation under this supplementary agreement - is RUR 350,000 (three hundred fifty thousand).

2. Due to the amount change of the paid out scholarships, the Parties have agreed to state Appendix # 1 to Contract # 14390-409 dd. 17.10.2011 in the version of Appendix # 1 to the Supplementary agreement.

Validity period of the agreement.

Supplementary agreement comes into force after its signing by the Parties. Parties have come to an agreement to extend the effect of this supplementary agreement over the actual relations of the Parties, which started before its signing, from 01.09.2013.

To determine the price of the lease contract between JSC "Moscow United Electric Grid Company" and JSC "Plant RETO" in the amount of RUR 2,687,503.41 (two million six hundred eighty seven thousand five hundred three rubles and 41 kopeks), including VAT (18%) – RUR 409,958.91 (four hundred nine thousand nine hundred fifty eight rubles and 91 kopeks).

2. To approve the lease contract between JSC "Moscow United Electric Grid Company" and JSC "Plant RETO" (hereinafter – Contract) as an interested party transaction, according to Appendix # 21 to the resolution of the Company Board of Directors, under the following essential terms:

Parties of Contract.

Lessee – is Joint Stock Company "Moscow United Electric Grid Company";

Lessor – is Joint Stock Company "Plant on repair of electrical machinery" (RETO) .

Subject matter of Contract.

The Lessor transfers, and the Lessee accepts the leasehold on the property – premise with the total area of 378 sq.m (among them 29.3 sq.m. – are office premises (cabinets) and 349.3 sq.m. – are industrial premises), located at the address: Moscow, Starokashirskoye Highway, 4A, bld.3.

Payments and settlements under the Contract.

Rental payment is established in the amount of RUR 2,277,544.5 for 11 months, besides that VAT in the amount of RUR 409,958.91. The monthly rental payment amounts to RUR 207,049.50, besides that VAT - RUR 37,268.91.

Term of lease.

Term of lease is established from 01.10.2013 to 31.08.2014.

Validity period of Contract.

Contract comes into force after its signing by the parties. The effect of the Contract extends over the legal relations of the parties which started actually from 01.10.2013.

To determine the price of the contract of the information and consulting services rendering between JSC "Moscow United Electric Grid Company" and JSC "MKSM" in the amount of RUR 89,521.05 (Eighty nine thousand five hundred twenty one and 05 kopeks), including VAT - RUR 13,655.75 (thirteen thousand six hundred fifty five and 75 kop).

2. To approve the contract of the of the information and consulting services rendering between JSC "Moscow United Electric Grid Company" and JSC "MKSM" (hereinafter – Contract) as an interested party transaction, according to Appendix # 22 to the resolution of the Company Board of Directors, under the following essential terms:

Executor – JSC "Moscow United Electric Grid Company"

Customer – JSC "MKSM"

Subject matter of Contract.

The Customer entrusts and the Executor assumes the obligations to render the information and consulting services (hereinafter "Services") for the newly employed personnel (2 people) on themes:

a). Working, related with liquefied petroleum gas (LPG);

b). Rules of repair and installation of CL (cable lines) up to 20 kV (theory);

c). Laying of CL up to 35 kV;

d). Installation of the coupling sleeves, end sleeves and reducing couplings with the voltage up to 20 kV inclusively;

e). Rules of repair and installation of CL up to 20 kV (practice), according to the approved program and regulations.

Contract price.

Total cost under this Contract amounts to RUR: 89,521 and 05 kop. (Eighty nine thousand five hundred twenty one rubles and 05 kop.), including VAT - RUR 13,655 and 75 kop.

Validity period of Contract.

Contract comes into force after its signing by both Parties. The clauses of the concluded Contract extend over the relations which started from 16.09.2013 and are effective till 30.06.2014.

Following the voting results a positive resolution has been passed.

1. To determine the price of the contract of the information and consulting services rendering between JSC "Moscow United Electric Grid Company" and JSC "MKSM" in the amount of RUR 83,593.72 (Eighty three thousand five hundred ninety three and 72 kopeks), including VAT 18 % - RUR 12,751.58 (Twelve thousand seven hundred fifty one and 58 kopeks).

To approve the contract of the information and consulting services rendering between JSC "Moscow United Electric Grid Company" and JSC "MKSM" (hereinafter – Contract) as an interested party transaction, according to Appendix # 23 to the resolution of the Company Board of Directors, under the following essential terms:

Subject matter of Contract.

The Customer entrusts and the Executor assumes the obligations to render the information and consulting services (hereinafter "Services") for the personnel possessing of the practical skills of the repair and installation works performance of the cable lines, in number of 14 people, on theme "Rules of the earth works performance when laying the cable", in accordance with the approved program and regulations.

Contract price.

1. The cost of the Services is determined by the current prices of the Executor for entities. The cost of the Services for one person amounts to RUR 5,970 and 98 kop., including VAT - RUR 940 and 83 kop.

2.Total cost under this Contract amounts to RUR: RUR 83,593 and 72 kop. (Eighty three thousand five hundred ninety three and 72 kop.), including VAT - RUR 12,751 and 58 kop.

Validity period of Contract.

Contract comes into force after its signing by both Parties. The clauses of the concluded Contract extend over the relations which started from 16.09.2013 and are effective till 30.06.2014.

To determine that the cost of the services which appeared within the framework of the legal relations between JSC "MOESK" and JSC "OEK", confirmed by a transfer and acceptance certificate of the technological connection to the electric grids of the power receivers of the end consumer CJSC "FCSR", which concluded contract # PM-07/10203-07 with JSC "MOESK" on 26.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid of the technological connection facilities – residential houses with underground garages-parking lots, located at the address: Moscow, Fili-Davydkovo, Q. 1-2 "Davydkovo", with the non-recurrent load of 7,315 kVA, which represent an interested party transaction, amounts to RUR 182,114,196 (one hundred eighty two million one hundred fourteen thousand one hundred ninety six) and 11 kopeks, including VAT (18%) in the amount of RUR 27,780,131 (twenty seven million seven hundred eighty thousand one hundred thirty one) and 61 kopeks.

To approve the interested party transaction, which appeared within the framework of the legal relations between JSC "MOESK" and JSC "OEK", confirmed by an transfer and acceptance certificate of the technological connection services to the electric grids of the power receivers of the end consumer of CJSC "FCSR" (hereinafter - Act, Appendix # 24 to the resolution of the Board of Directors), which concluded contract # PM-07/10203-07 with JSC "MOESK" on 26.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid of the technological connection facilities – residential houses with underground garages-parking lots, located at the address: Moscow, Fili-Davydkovo, Q. 1-2 "Davydkovo", with the non-recurrent load of 7,315 kVA, under the following essential terms:

Parties of transaction:

Customer – JSC "Moscow United Electric Grid Company";

Executor – JSC "OEK".

Subject matter and price of transaction:

To provide connection of the power receivers of the end consumer CJSC "FCSR" to the electric grids, which concluded contract # PM-07/10203-07 with JSC "MOESK" on 26.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid of the technological connection facilities, the technological connection facility – are residential houses with underground garages-parking lots, located at the address: Moscow, Fili-Davydkovo, Q. 1-2 "Davydkovo", with the non-recurrent load of 7,315 kVA (hereinafter – End consumer), the parties have agreed to renew the effect of Contract # 369 dd. 19.05.2008 , concluded between the Customer and Executor (hereinafter – Contract), for the period as from the date of a unilateral refusal of JSC "MOESK" to execute the Contract (09.07.2012) till the date of an Act signing as to the services rendering, providing the technological connection of the power receivers of this End consumer to the grids of JSC "MOESK".

To provide the connection of the power receivers of the End consumer – CJSC "FCSR" to the electric grids, with the total capacity of 7,315 kVA, the Executor implements the arrangements stipulated by clause 3.1 of the Contract, in the points of connection: SS # 845 "Matveevskaya", cell 310, the cost of the rendered services is RUR 182,114,196.11, including VAT (18 %).

Cost of the services is determined on basis of the tariff established by Decree of the Regional Energy Commission of Moscow # 50 dd. 12.10.2009 "Concerning the payment establishment for the technological connection of JSC "MOESK" to the electric grids of JSC "OEK", JSC "Energocomplex", OJSC "Mosenergo" and for the technological connection to the electric grids of JSC "MOESK" for JSC "OEK" - (SS "Gertsevo" - 2 x 250, 2 x 100, SS "Matveevskaya" - 3 x 100, SS "Novo-Vnukovo" - 2 x 200, SS "City-2" (Magistral'naya) – 2 x 200, 3 x 100, SS "Dubninskaya" - 2 x 63), JSC "Energocomplex" - (SS "Grach" - 2 x 80, SS "Marfino" - 3 x 100, SS "Yashino"- 2 x 100, SS "Nikulino" - 4 x 100, SS "Pererva" - 2 x 100, SS "Pervomayskaya" - 3 x 100, SS "Novo-Orekhovo"- 2 x 80, SS "Meschanskaya" - 3 x 100)".

Payment of the services specified in clause 2 of the Act, shall be made by the Customer to the full extent according to the contract # 25-700/53/9 dd. 28.12.2006 on the organization of the settlements for the technological connection.

Implementation of the physical connection of the electric grid elements of JSC "MOESK" to the electric grid complex of JSC "OEK", necessary to fulfill the Customer obligations towards the End consumer – CJSC "FCSR", is confirmed by drawing up an act by the Parties about the technological connection and an act of the differentiation between the balance sheet attribution and operational responsibility, which are an integral Appendix to the Act.

Other essential clauses of the transaction:

Singing of the Act by the parties doesn't entail an occurrence/renewal/amendment of other legal relations of the parties under the Contract (including the relations associated with connection of other electric grid facilities of JSC "MOESK" to the electric grid of JSC "OEK" and/or connections in respect of other points of the technological connection and/or in order to provide the obligations execution towards other consumers), except for those specified directly in the Act.

2. To determine that the cost of the services, which appeared within the framework of the legal relations between JSC "MOESK" and JSC "OEK", confirmed by a delivery and acceptance certificate of the technological connection services to the electric grids of the power receivers of end consumer CJSC "PFK CSKA", which concluded contract # PM-07/9056-07 with JSC "MOESK" on 22.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid of the technological connection facility – a football stadium "CSKA", located at the address: Moscow, the 3d Peschanaya Str., bld. 2, with the non-recurrent load of 8,593 kVA, which represent an interested party transaction, amounts to RUR 213,931,276 (two hundred thirteen million nine hundred thirty one thousand two hundred seventy six) and 44 kopeks, including VAT (18%) in the amount of RUR 32,633,584 (thirty two million six hundred thirty three thousand five hundred eighty four) and 54 kopeks.

Cost of the services is determined premised on the tariff established by Decree of the Regional Energy Commission of Moscow # 50 dd. 12.10.2009 "Concerning the payment establishment for the technological connection of JSC "MOESK" to the electric grids of JSC "OEK", JSC "Energocomplex", OJSC "Mosenergo" and for the technological connection to the electric grids of JSC "MOESK" for JSC "OEK" - (SS "Gertsevo" - 2 x 250, 2 x 100, SS "Matveevskaya" - 3 x 100, SS "Novo-Vnukovo" - 2 x 200, SS "City-2" (Magistral'naya) – 2 x 200, 3 x 100, SS "Dubninskaya" - 2 x 63), JSC "Energocomplex" - (SS "Grach" - 2 x 80, SS "Marfino" - 3 x 100, SS "Yashino"- 2 x 100, SS "Nikulino" - 4 x 100, SS "Pererva" - 2 x 100, SS "Pervomayskaya" - 3 x 100, SS "Novo-Orekhovo"- 2 x 80, SS "Meschanskaya" - 3 x 100)".

2.1. To approve the interested party transaction, which appeared within the framework of the legal relations between JSC "MOESK" and JSC "OEK", confirmed by the transfer and acceptance certificate of the technological connection services to the electric grids of the power receivers of end consumer CJSC "PFK CSKA" (hereinafter - Act, Appendix # 25 to the resolution of the Board of Directors), which concluded contract # PM-07/9056-07 with JSC "MOESK" on 22.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid of the technological connection facility – a football stadium "CSKA", located at the address: Moscow, the 3d Peschanaya Str., bld. 2, with the non-recurrent load of 8,593 kVA, under the following essential terms:

Parties of transaction:

Customer – JSC "Moscow United Electric Grid Company";

Executor – JSC "OEK".

Subject matter and price of transaction:

To provide connection of the power receivers of end consumer CJSC "PFK CSKA" to the electric grids, which concluded contract # PM-07/9056-07 with JSC "MOESK" on 22.11.2007 for the technological connection implementation using "one window" system of the power receivers to the electric grid, the technological connection facility – is a football stadium "CSKA", located at the address: Moscow, the 3d Peschanaya Str., bld. 2, with the non-recurrent load of 8,593 kVA (hereinafter – End consumer), the parties have agreed to renew the effect of Contract # 369 dd. 19.05.2008, concluded between the Customer and Executor (hereinafter – Contract), for the period as from the date of a unilateral refusal of JSC "MOESK" to execute the Contract (09.07.2012) till the date of an Act signing as to the services rendering, providing the technological connection of the power receivers of this End consumer to the grids of JSC "MOESK".

To provide the connection of the power receivers of end consumer – CJSC "PFK CSKA" to the electric grids, with the total capacity of 8,593 kVA, the Executor is implementing the arrangements stipulated by clause 3.1 of the Contract, in the points of connection: SS # 844 " Magistral'naya" (City-2) cell 605 and 507, the cost of the rendered services is RUR – 213,931,276,44, including VAT (18%).

Cost of the services is determined premised on the tariff established by Decree of the Regional Energy Commission of Moscow # 50 dd. 12.10.2009 "Concerning the payment establishment for the technological connection of JSC "MOESK" to the electric grids of JSC "OEK", JSC "Energocomplex", OJSC "Mosenergo" and for the technological connection to the electric grids of JSC "MOESK" for JSC "OEK" - (SS "Gertsevo" - 2 x 250, 2 x 100, SS "Matveevskaya" - 3 x 100, SS "Novo-Vnukovo" - 2 x 200, SS "City-2" (Magistral'naya) – 2 x 200, 3 x 100, SS "Dubninskaya" - 2 x 63), JSC "Energocomplex" - (SS "Grach" - 2 x 80, SS "Marfino" - 3 x 100, SS "Yashino"- 2 x 100, SS "Nikulino" - 4 x 100, SS "Pererva" - 2 x 100, SS "Pervomayskaya" - 3 x 100, SS "Novo-Orekhovo"- 2 x 80, SS "Meschanskaya" - 3 x 100)".

Payment of the services specified in clause 2 of the Act, has been made by the Customer to the full extent according to Contract # 25-700/53/9 dd. 28.12.2006 on the settlements organization for technological connection.

Implementation of the physical connection of the electric grid elements of JSC "MOESK" to the electric grid complex of JSC "OEK", necessary to fulfill the Customer obligations towards the End consumer – CJSC "PFK CSKA", is confirmed by drawing up an act by the Parties about the technological connection and an act of the differentiation between the balance sheet attribution and operational responsibility, which are an integral Appendix to the Act.

Other essential clauses of the transaction:

Singing of the Act by the parties doesn't entail an occurrence/renewal/amendment of other legal relations of the parties under the Contract (including the relations associated with connection of other electric grid facilities of JSC "MOESK" to the electric grid of JSC "OEK" and/or connections in respect of other points of the technological connection and/or in order to provide the obligations execution towards other consumers), except for those specified directly in the Act.

Following the voting results a positive resolution has been passed.

1. To determine that the cost of the services for carrying out periodic and preliminary medical inspections (examinations) under Contract # 15048-409 dd. 23.03.2012 with due regard for supplementary agreement # 2, concluded between JSC "Moscow United Electric Grid Company" and "SOGAZ-Medservice", LLC, being an interested party transaction, is increased by RUR 1,859,000 (one million eight hundred fifty nine thousand) and 00 kopeks.

To determine that the total cost of the services for carrying out periodic and preliminary medical inspections (examinations) under Contract # 15048-409 dd. 23.03.2012, with due regard for supplementary agreement # 2, concluded between JSC "Moscow United Electric Grid Company" and "SOGAZ-Medservice", LLC, being an interested party transaction, amounts to RUR 51,377,040 (fifty one million three hundred seventy seven thousand forty) and 00 kopeks.

Cost of carrying out of one preliminary/ periodic medical inspection (examination) of the an employee of the Customer shall remain unchanged.

2. To approve supplementary agreement # 2 to Contract for carrying out periodic and preliminary medical inspections (examinations) under Contract # 15048-409 dd. 23.03.2012, concluded between JSC "Moscow United Electric Grid Company" and "SOGAZ-Medservice", LLC (hereinafter - Supplementary agreement, Appendix # 26 to the resolution of the Board of Directors), being an interested party transaction, under the following essential terms:

Parties of supplementary agreement:

Customer – JSC "Moscow United Electric Grid Company";

Executor – "SOGAZ-Medservice", LLC.

Subject matter and price of supplementary agreement:

Guided by clause 3.7 of Contract # 15048-409 dd. 23.03.2012 (hereinafter - Contract) in order to carry out the additional preliminary and periodic medical inspections of the personnel of JSC "MOESK" in the 4th quarter of 2013, the parties have agreed to introduce the following amendments and additions into the contract:

1. Due to an increase, at the Customer initiative, of the number of the employees, who are subject to a preliminary and periodic medical inspection (examination), the total cost of the Executor services rendered under the Contract, is increased by RUR 1,859,000 (one million eight hundred fifty nine thousand) and 00 kopeks. VAT exempt (subcluase 2 clause 2 art. 149 of the RF Tax Code).

2. Executor is obliged to carry out preliminary and periodic medical inspections (examinations) of the additional number of the Customer employees, with the compulsory preliminary agreement by the Parties of the employee lists, dates and place of carrying out medical inspections.

3. Cost of carrying out one preliminary/periodic medical inspection (examination) of an employee of the Customer shall remain unchanged.

Validity period of supplementary agreement:

Supplementary agreement comes into force as from its signing date by the Parties, extends over the relations of the parties which started actually before its signing, since 01.11.2013.

Following the voting results a positive resolution has been passed.
