Development of prospective plans on realization of major business directions of OJSC “MOESK” and provision for consideration of the Board of Directors;

Approval (correction) of purpose key effectiveness indicators (KEI) for departments (executives) of OJSC “MOESK”;

Preparation of the business-plan (corrected business-plan) and report on results of its implementation as well as approval and correction of cash flow in accordance with the list and level of OJSC “MOESK” cash flow benchmark approved by the Board of Directors (with obligatory following provision to the Board of Directors of OJSC “MOESK”);

Preparation of the investment program and report of its implementation to the Board of Directors of OJSC “MOESK”;

Consideration of separate investment projects of OJSC “MOESK” to the amount of more than RUR 2 million (Two million) and approval of reports of executives and departments of the Company on effectiveness of its implementation;

Preparation of the program for technical re-equipment, reconstruction and development of OJSC “MOESK”;

Approval of the quarter cash flow balance of OJSC “MOESK” and report on its performance;

Preparation of the annual program for purchasing activity of OJSC “MOESK”, approval of quarterly programs for purchasing activity of the Company within the frameworks of the annual program, and preparation of reports on performance of the annual and quarterly programs on purchasing activity of OJSC “MOESK”;

Preparation of the report on financial and business activities of OJSC “MOESK”, on implementation of decisions adopted by the General Shareholders Meeting and the Board of Directors of OJSC “MOESK” by the Management Board;

Decision-making on conduction of transactions issue of which is property, work and / or services with cost of more than 1 percent from balance cost of assets of OJSC “MOESK” determined as of the date of decision-making on conduction of the transaction except for transactions carried out within general business activity of OJSC “MOESK” as well as transactions decision on conduction of which shall be referred to competence of the Board of Directors of OJSC “MOESK” due to the Charter of OJSC “MOESK”;

Preliminary consideration and giving of recommendations to the Board of Directors of OJSC “MOESK” on issues put for consideration of the Board of Directors of OJSC “MOESK” in the order provided for by the internal document of OJSC “MOESK” regulating the order of operation of the Management Board of OJSC “MOESK”;

Decision-making on issues referred to competence of management bodies of business companies 100% (One hundred percent) of authorized capital or all voting shares of which belong to OJSC “MOESK” (taking into account subparagraph 36 of paragraph 15.1 of the Charter);

Consideration of reports from Deputy General Directors of OJSC “MOESK”, Directors of structure departments of OJSC “MOESK” on results of performance of approved plans, programs, orders, consideration of reports, documents and other information on activities of the Company and its subsidiaries and dependent companies;

Consideration of other issues related to management of current activities of OJSC “MOESK” in accordance with decisions made by the General Shareholders Meeting, the Board of Directors of OJSC “MOESK” as well as issues put for consideration of the Management Board by the General Director of OJSC “MOESK”.
